All intellectual property created specifically for a client under a signed agreement becomes the property of the client upon full payment, unless otherwise specified. Our pre-existing tools, frameworks, libraries, and methodologies remain the property of SMARK TECHS.

We treat all client information as confidential. We will not disclose your proprietary business information, source code, or data to any third party without your consent, except as required by law or as necessary to deliver the agreed services.

Payment Terms

Payment terms vary depending on the nature, scope, and duration of each engagement. Specific terms are agreed upon and documented in the project agreement before work begins. We work collaboratively with clients to establish a payment structure that is fair, transparent, and aligned with project milestones.

Limitation of Liability

To the maximum extent permitted by law, SMARK TECHS shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the fees paid by the client in the preceding three months.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in San Francisco, California.

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the effective date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
